Combined member terms, weaver terms, and marketplace license rules for the current AgentLoomX prelaunch platform.

These Terms are intended to align the live marketplace with the current prelaunch operating model. They should be read together with the Privacy Policy, Cookie Policy, and GDPR information page.
1. Agreement scope
These Terms of Service govern access to and use of AgentLoomX by both members and weavers. They cover marketplace browsing, account creation, free acquisitions, paid purchases, weaver applications, listing publication, payout eligibility, and participation in platform features including The Loom.
By creating an account, applying as a weaver, publishing a listing, completing a purchase, acquiring a free listing, or using any marketplace feature, you agree to be legally bound by these Terms, together with the Privacy Policy, Cookie Policy, GDPR information page, and any product-specific license terms made part of a transaction.
2. Who we are and platform role
AgentLoomX operates the marketplace at agentloomx.com as a Service-Disabled Veteran-Owned Small Business based in Pennsylvania. AgentLoomX provides marketplace infrastructure, discovery tools, payments handling, listing review, and marketplace operations.
For most marketplace listings, AgentLoomX is not the original weaver or developer of the listed AI product. Third-party weavers remain responsible for the products they publish, the truthfulness of their listings, their support obligations, and the rights they grant to members.
AgentLoomX reviews listings before publication and may conduct ongoing safety, compliance, and quality checks, but that review is not a warranty, certification, or guarantee of fitness, reliability, or commercial suitability.
3. Eligibility and accounts
To use AgentLoomX as a member or weaver, you must be at least 18 years old, have legal capacity to enter into binding contracts, provide accurate account information, and comply with applicable law.
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. We may suspend, restrict, or terminate accounts involved in abuse, fraud, policy violations, security risks, repeated chargeback abuse, or conduct that undermines marketplace trust.
4. Weaver applications and approval
Weaver access is not automatic. To publish on AgentLoomX, a user must submit a weaver application and be approved by the platform. Submission does not guarantee approval, and AgentLoomX may approve or decline applications in its discretion.
Founding Weaver status, where offered, is limited and discretionary. During the current prelaunch period, weavers may still reserve reduced future commission status and launch-phase program benefits, but all weaver participation remains subject to good standing and platform rules.
5. Listings, weaver obligations, and platform review rights
Weavers must ensure that every listing accurately describes the AI product, supported use cases, pricing model, technical requirements, required third-party services, and any material limitations. Listings may not be deceptive, materially incomplete, or misleading.
By submitting a listing, the weaver represents and warrants that they have the rights necessary to publish, host, market, license, and sell the product and related materials through AgentLoomX.
Weavers grant AgentLoomX a limited non-exclusive license to host, display, test, review, promote, and deliver listed products as needed to operate the marketplace, review product safety and quality, and provide access to authorized members. AgentLoomX may install or operate a listed product on platform-controlled systems for safety screening, technical testing, compliance review, and general marketplace evaluation.
AgentLoomX may reject, remove, suspend, restrict, or de-list any listing that violates these Terms, creates legal or safety risk, appears materially inaccurate, contains prohibited functionality, or undermines the integrity of the marketplace.
6. Prohibited content and conduct
Users may not use AgentLoomX to publish, purchase, distribute, request, or promote malware, credential theft tools, unlawful surveillance tools, deceptive impersonation systems, fraudulent financial tooling, unlawful scraping systems, or any product or request that violates applicable law or third-party rights.
Weavers may not manipulate reviews, installs, rankings, or weaver standing; evade fees through off-platform routing; submit plagiarized or unauthorized content; or operate multiple accounts to bypass enforcement or gain unfair marketplace advantage.
Members may not use acquired products for illegal, harmful, abusive, deceptive, or rights-infringing purposes, may not reverse-engineer listed products except where non-waivable law requires otherwise, and may not solicit weavers through the platform to evade platform fees on platform-originated work.
7. Member licenses and permitted use
Unless a weaver provides a separate weaver-specific EULA that validly governs a listing, the default AgentLoomX member license applies.
For free listings, members receive a limited, non-exclusive, non-transferable, revocable license for personal, educational, or internal non-commercial use only.
For paid one-time listings, members receive a limited, non-exclusive, non-transferable license for personal or internal business use, generally on a perpetual basis unless terminated for breach.
For subscription listings, members receive a limited, non-exclusive, non-transferable license that lasts only while the subscription remains active and paid.
- No redistribution, sublicensing, resale, or public reposting unless an applicable license expressly allows it.
- No reverse engineering, decompilation, or extraction of source code, model weights, or underlying logic unless applicable law requires otherwise.
- No use of a listed product to create a competing commercial substitute for redistribution.
- No removal of weaver attribution, copyright notices, or proprietary markings.
- No unlawful, harmful, deceptive, defamatory, or rights-infringing use.
Enhanced commercial, white-label, OEM, or exclusive rights apply only where specifically purchased and documented through AgentLoomX or through a valid weaver-provided license that the platform permits.
8. Pricing, payments, refunds, and payouts
AgentLoomX uses Stripe or affiliated Stripe services for marketplace payments, tax handling, and weaver payouts. By buying or selling through the platform, you also agree to the applicable Stripe terms.
All marketplace prices are generally shown in US Dollars unless otherwise stated. AgentLoomX acts as merchant of record for platform transactions where applicable and may collect and remit sales tax or VAT as required by law.
The current standard marketplace commission rate is 8%, and the current Founding Weaver marketplace commission rate is 5% outside protected prelaunch waivers or launch-specific incentives that may be in effect at the time of transaction.
During the current prelaunch phase, some fees or commissions may be reduced or waived as described on active platform pages or checkout surfaces. Those launch-phase incentives may change later in accordance with platform notices and published terms.
Weaver payouts are currently scheduled weekly, with a minimum payout threshold of $25.00 and a 7-day hold before funds become payout-eligible.
Because marketplace products are digital, sales are generally final. However, AgentLoomX may issue refunds in cases such as material misrepresentation, malicious code, duplicate charges, qualifying billing errors, or a product failing to function as described within the stated refund window. Refund decisions are made under the published member policy and platform review process.
Chargebacks, payment disputes, fraud review, chargeback fees, and refund reversals may reduce or delay weaver payouts. AgentLoomX may temporarily hold funds where reasonably necessary for legal compliance, fraud prevention, abuse review, or marketplace safety.
9. The Loom and custom work
AgentLoomX may offer The Loom, also referred to in some contexts as The Guild's Loom, as a custom-work request feature that allows members to post requests and weavers to respond with proposals or deliverables. Funds may be placed in escrow or held through Stripe pending acceptance, dispute handling, or cancellation rules published for the feature.
Members must review deliverables in good faith, and weavers must not use the feature to route work off-platform in evasion of platform fees. Unless an exclusive or assignment-based arrangement is explicitly documented through the platform, The Loom deliverables are typically licensed on a non-exclusive basis for the scope described in the request.
10. Intellectual property and historical records
Weavers retain ownership of their own products and weaver content, subject to the licenses they grant to AgentLoomX and to members under these Terms and any applicable product-specific license.
The AgentLoomX platform, brand elements, marketplace design, site content other than weaver content, and platform software remain the property of AgentLoomX or its licensors.
AgentLoomX may maintain historical backups, listing records, moderation records, transaction records, and other retained data for legal compliance, fraud review, dispute resolution, accounting, security, and platform audit purposes, including after a listing or account is removed.
11. Privacy, data, and third-party services
Use of the platform is also governed by the AgentLoomX Privacy Policy, Cookie Policy, and GDPR information page. Those documents explain how account information, transaction data, usage data, and related information may be collected, used, retained, and shared.
Many listings depend on third-party APIs, accounts, models, or services. Members are responsible for obtaining and complying with any required third-party services, and AgentLoomX is not responsible for the cost, availability, or terms of third-party systems required by a listing.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL LISTINGS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
AGENTLOOMX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
AGENTLOOMX DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY LISTING WILL MEET A BUYER'S NEEDS, THAT EVERY PRODUCT WILL BE FREE OF DEFECTS OR SECURITY ISSUES, OR THAT ANY AI OUTPUT WILL BE ACCURATE, SAFE, OR FIT FOR A PARTICULAR PURPOSE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTLOOMX AND ITS OWNER, AFFILIATES, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTLOOMX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY THE CLAIMANT TO AGENTLOOMX IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.00.
14. Indemnification
You agree to defend, indemnify, and hold harmless AgentLoomX and its owner, affiliates, employees, contractors, and service providers from and against claims, damages, losses, liabilities, and expenses arising out of or related to your use of the platform, your listings, your purchases, your violation of these Terms, your violation of applicable law, or your infringement of any third-party right.
15. Disputes, arbitration, and governing law
Before starting a formal claim, you agree to first contact AgentLoomX through the contact information published on the platform and attempt informal resolution.
If a dispute cannot be resolved informally within a reasonable period, it will be resolved by binding arbitration administered by the American Arbitration Association under the applicable commercial or consumer rules, unless a claim may properly proceed in small claims court.
To the maximum extent permitted by law, all claims must be brought on an individual basis and not as part of a class, collective, or representative action.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles. For matters not subject to arbitration, venue and jurisdiction lie in the state or federal courts of Pennsylvania.
16. Changes, termination, and contact
AgentLoomX may update these Terms from time to time. Material changes may be communicated through the platform, email, or both. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.
We may suspend, restrict, or terminate access where necessary to protect the platform, respond to abuse or legal obligations, or enforce these Terms. Provisions that by their nature should survive termination will remain in effect.
